SEC encourages Phuket bondholders to assert their rights at the forthcoming bondholders’ meeting
The SEC advises PHUKET bondholders to review information and exercise their rights at the 15 December meeting, where bond maturity and interest rate revisions will be discussed.
The Securities and Exchange Commission (SEC) urges the bondholders of six series of PHUKET bonds to study all available information, exercise their rights at the upcoming bondholders’ meeting, and reach out to the bond issuer or the bondholders’ representative to obtain comprehensive and sufficient details for making an informed voting decision. The bondholders’ meeting will be held on 15 December 2025.
Phuket Fantasea Public Company Limited (PHUKET), the issuer of PHUKET206A, PHUKET207A, PHUKET207B, PHUKET208A, PHUKET20DA and PHUKET216A bond series, will convene the Bondholders’ Meeting No. 1/2025 on 15 December 2025 at 14.00 hours at Blossom Meeting Room, Safari World, No. 99, Panyaindra Road, West Samwa Subdistrict, Klong Samwa District, Bangkok. The matters for consideration are as follows:
(1) Extending the maturity period for bond redemption by one year, to be due on 30 June 2027;
(2) Revising the interest payment conditions for all six series, as follows:
– Increasing the interest rate by 0.25 percent per year, from 7.25 percent per year to 7.50 percent per year, starting from 30 December 2025 until the extended maturity date;
– Revising the interest payment conditions, as approved by the Bondholders’ Meeting No. 1/2024 convened on 9 December 2024.
(3) Granting an exemption from an event of default under the terms and conditions for the issuer’s proposal to the Bondholders’ Meeting No. 1/2025 to revise the debt repayment conditions for seven bond series,* with an outstanding principal amount as of 1 December 2025 totaling 2,288.7 million baht, and/or negotiations with financial institutions or other creditors (if any) for debt restructuring within one year from the date of this bondholders’ meeting and/or the execution of debt-to-equity conversion between the company and Safari World Public Company Limited (applicable to PHUKET216A series only).
The SEC requires that the bondholders’ representative analyze the benefits and shortcomings as well as the potential impacts on the bondholders both in cases of approval and decline of approval for the above matters with respective supporting reasons and the opinions of the bondholders’ representative. The bondholders are, therefore, encouraged to thoroughly review the information and exercise their rights to protect their own interests. They should also make necessary inquiries to the bondholders’ representative to obtain comprehensive information before making a voting decision at the bondholders’ meeting.
