I Read All 402 Pages of the SEC’s Reg Crypto Assets Rule. Here’s What It Actually Does
The SEC published Regulation Crypto Assets today, a 402-page proposed rule that creates two tailored exemptions and the first real exit ramp a token has ever had. The public comment period runs 60 days from Federal Register publication, and the comment file is where crypto regulation actually gets written. Dana Love, PhD read the document and breaks down what is in it, what to watch, and what to say when you comment.
Dana Love, PhD breaks down the startup exemption at $5 million over four years with no broker, no funding portal, no accredited-investor gate and no investment caps, and the fundraising exemption modeled on Regulation A at $20 million for Tier 1 and $75 million for Tier 2. He explains the investment contract safe harbor and the certification an issuer files to use it, why Bitcoin and XRP are already on the other side of that door, what state blue-sky preemption means for secondary markets, and why both exemptions being non-exclusive ends eight years of offshore contortions. Then he goes back to Regulation Crowdfunding under the JOBS Act to show how a good exemption gets narrowed one defensible piece at a time, and why this proposal is different while Congress continues to fumble the CLARITY Act.
